Maintain appropriate access to their own websites, advertising accounts, hosting platforms, and other business systems.

Delays caused by missing information, late approvals, or incomplete client materials may affect project timelines and delivery dates.
We are not responsible for delays or losses resulting from inaccurate information, unauthorized client instructions, or circumstances outside our reasonable control.
5. Project Scope and Deliverables
Each project will be completed according to the scope agreed upon before work begins.
Unless expressly included in a proposal or service agreement, project fees do not automatically cover:
-
Additional revisions beyond the agreed allowance.
-
New features or functionality outside the original scope.
-
Third-party software subscriptions, hosting, domains, or premium licenses.
-
Advertising spend paid to advertising platforms.
-
Stock photography, paid fonts, plugins, or other licensed resources.
-
Ongoing maintenance, support, or additional marketing services.
Requests that extend beyond the agreed scope may require additional fees and revised timelines. We will communicate material changes to the client before proceeding with additional billable work.
6. Pricing and Payments
All service fees, payment schedules, deposits, and applicable charges will be communicated through a quotation, invoice, proposal, or written agreement.
Unless otherwise agreed in writing:
-
Clients must pay invoices according to the stated payment terms.
-
Project work may begin after the required deposit or initial payment has been received.
-
Additional work outside the agreed scope may incur additional charges.
-
Clients are responsible for applicable taxes and third-party costs where legally required.
-
We may pause work on overdue accounts after providing reasonable notice.
-
Payment does not guarantee a specific commercial outcome, search ranking, advertising performance, or revenue level.
Any deposit, advance payment, refund, or cancellation charge will be governed by the applicable project agreement and mandatory consumer protection laws.
We will communicate any applicable non-refundable charges before the client commits to the relevant service.
7. Cancellations and Refunds
Clients wishing to cancel a project or ongoing service must notify us in writing.
Upon cancellation, the client may be responsible for:
-
Fees for work completed up to the effective cancellation date.
-
Approved expenses and third-party commitments already incurred.
-
Contractually agreed cancellation charges, where lawful.
-
Outstanding invoices for services already delivered.
Refund eligibility will depend on the applicable service agreement, the stage of project completion, and applicable law.
Where a refund is approved, we will communicate the amount and expected processing timeframe.
Nothing in this section excludes any refund or other right that cannot lawfully be excluded.
8. Website Design and Development
For website design and development projects, clients are responsible for providing accurate business information, reviewing website content, and obtaining any permissions required for materials supplied to us.
Unless expressly agreed in writing:
-
Website hosting, domain registration, and third-party subscriptions are separate expenses.
-
Ongoing maintenance and technical support are not included automatically.
-
Search engine indexing and website performance may depend on external systems and technical factors.
-
Additional changes requested after approval may incur additional fees.
We will use reasonable professional care when developing websites. However, we do not guarantee uninterrupted operation, compatibility with every device or browser, or freedom from all technical issues.
9. SEO and Digital Marketing
Search engine optimization and digital marketing involve factors outside our direct control.
Although we may use industry-standard strategies and reasonable professional efforts, we do not guarantee:
-
Specific search engine rankings or positions.
-
A particular amount of website traffic or lead generation.
-
Increased sales, revenue, or profits.
-
A specific return on advertising spend.
-
Approval of advertising campaigns by third-party platforms.
-
Continued visibility or performance following changes to search algorithms or advertising policies.
SEO results and campaign performance can vary based on competition, industry conditions, budgets, website quality, market demand, and third-party platform changes.
Our role is to provide the services and deliverables agreed upon with the client, not to guarantee a particular commercial outcome.
10. Advertising Budgets and Third-Party Platforms
Clients are responsible for approving and funding advertising budgets unless otherwise agreed in writing.
Advertising spend paid to platforms such as Google, Meta, and other advertising providers is separate from our management fees unless the relevant agreement expressly states otherwise.
We do not own or control third-party platforms. Consequently, we are not responsible for platform outages, account suspensions, policy changes, algorithm updates, rejected advertisements, or other decisions made by those providers.
We will exercise reasonable care when managing campaigns within the agreed scope, but clients remain responsible for the accuracy and legality of their business claims, products, services, and supplied advertising materials.
11. Intellectual Property Rights
All website content, text, graphics, logos, designs, and other materials belonging to Buzzence Digital remain our property or the property of the relevant rights holders, unless otherwise stated.
You may not reproduce, distribute, modify, publish, or commercially exploit our proprietary website materials without prior written permission.
For client projects, ownership and usage rights for final deliverables will be determined by the relevant proposal or service agreement.
Unless otherwise agreed in writing:
-
Third-party assets remain subject to their original licenses.
-
Unused concepts, drafts, source files, and working materials are not automatically included in the final deliverables.
-
Ownership transfers, where agreed, may be subject to full payment of the applicable fees.
-
Clients retain responsibility for obtaining permission to use materials they supply.
We reserve the right to identify ourselves as the service provider and display completed projects in our portfolio, unless a written confidentiality agreement or other binding obligation prohibits this.
12. Confidentiality
We will take reasonable steps to protect confidential business information provided by clients in connection with our services.
Clients also agree not to disclose our confidential business information, internal processes, pricing arrangements, or proprietary materials except where authorized or required by law.
Confidentiality obligations do not generally apply to information that is publicly available through no breach of these Terms, was lawfully known beforehand, or must be disclosed under applicable law.
Where a separate confidentiality or non-disclosure agreement exists, its terms will govern to the extent of any conflict.
13. Privacy and Personal Information
We may collect and process information submitted through our website, including names, email addresses, telephone numbers, business information, and project inquiries.
We will handle personal information in accordance with our Privacy Policy and applicable data protection laws.
By submitting information through our website, you acknowledge that the information may be used to respond to inquiries, communicate about requested services, and administer relevant business relationships, subject to applicable law and any required consent.
Please review our Privacy Policy for further information about how personal information is collected, used, and protected.
14. Acceptable Use
You agree not to use our website or services to:
-
Violate applicable laws or regulations.
-
Submit fraudulent, misleading, or unlawful information.
-
Infringe another person's intellectual property or privacy rights.
-
Distribute malicious software or attempt unauthorized access to systems.
-
Interfere with the operation or security of our website.
-
Use our services for deceptive, fraudulent, or prohibited advertising practices.
-
Misuse our website forms or communications channels.
We reserve the right to restrict access to our website or suspend services where reasonably necessary to address unlawful activity, security risks, or material breaches of these Terms.
15. Third-Party Services and Links
Our website or services may reference or integrate third-party platforms, applications, tools, or websites.
These third parties operate under their own terms, policies, and privacy practices. We do not control their services and are not responsible for their independent actions, availability, or policies.
Clients are responsible for reviewing the terms and conditions of third-party services they choose to use.
16. Disclaimers
Our website and its informational content are provided on an "as available" basis.
To the extent permitted by applicable law, we make no warranties that the website will always be available, error-free, or free from harmful components.
Any estimates, projections, recommendations, or marketing forecasts we provide are based on available information and professional judgment. They are not guarantees of future performance or business success.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Buzzence Digital will not be liable for indirect, incidental, special, punitive, or consequential losses arising from the use of our website or services, including loss of profits, business opportunities, anticipated savings, or data.
We are not responsible for losses caused by third-party platforms, client-supplied materials, unauthorized changes made by others, or events beyond our reasonable control.
Any liability arising from a specific project will be subject to the applicable written service agreement and mandatory legal requirements.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
18. Indemnification
To the extent permitted by applicable law, clients agree to indemnify and hold Buzzence Digital harmless against third-party claims, losses, and reasonable costs arising from:
-
Materials supplied by the client that infringe third-party rights.
-
Unlawful products, services, or business claims promoted at the client's direction.
-
The client's material breach of these Terms.
-
The client's unlawful use of our services.
This section applies only to the extent that the relevant claim arises from the client's acts, omissions, or breach, and does not exclude liability that cannot lawfully be excluded.
19. Suspension and Termination
Either party may terminate a project or ongoing engagement in accordance with the applicable written service agreement.
We may suspend or terminate services where reasonably necessary if a client materially breaches these Terms, fails to pay amounts due, requests unlawful activity, or creates a significant security or compliance risk.
Where appropriate and legally permissible, we will provide notice and an opportunity to resolve the issue.
Termination does not remove payment obligations for work already completed or other amounts properly due under the applicable agreement.
20. Force Majeure
Neither party will be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, government actions, widespread internet or infrastructure outages, third-party platform failures, or other comparable events.
The affected party will use reasonable efforts to reduce the impact and resume performance when practicable.
21. Changes to These Terms
We may update these Terms of Service from time to time to reflect changes in our services, business practices, or legal obligations.
Updated Terms will be published on this page with a revised "Last Updated" date.
Changes will apply as permitted by applicable law. Where a change materially affects an existing client agreement, the applicable written agreement and mandatory legal requirements will take precedence.
22. Governing Law and Dispute Resolution
These Terms will be governed by the laws applicable to the contracting entity operating Buzzence Digital, without disregarding any mandatory legal protections that apply to the client.
The parties will attempt to resolve disputes through good-faith discussions before pursuing formal legal remedies, where appropriate.
The competent courts and dispute resolution procedures will be determined by the applicable law and any valid written agreement between the parties.
Important: The governing law and jurisdiction should be finalized after confirming the legal identity and registered location of the business.
